JAPAN GUIDE

How to Set Up a Company in Japan from Overseas: A Practical Checklist

Can you incorporate a Japanese company while living abroad? Understand the registration, documents, banking and visa questions before you commit.

About this guide

General information by the KIZUNA editorial team, not personalised legal, tax or immigration advice. Rules and forms can change.

Can a non-resident establish a Japanese company?

Yes. The Ministry of Justice states that a Japanese company can be registered even where all representative directors reside abroad. This is a commercial-registration rule, not a guarantee of a bank account, immigration status or permission to conduct every activity.

The practical challenge is coordinating documents, payment evidence, banking and any necessary professional filings across borders. Planning these together is often more important than rushing to complete registration.

Choose a structure based on what you will actually do

  • A Kabushiki Kaisha (KK) is a Japanese joint-stock corporation.
  • A Godo Kaisha (GK) is a Japanese limited liability company with more flexible internal governance in certain respects.
  • An existing overseas company may prefer a Japanese branch, which is not a separate legal entity from its parent.
  • A representative office may be suitable for preparatory activity, but cannot engage in sales.

The right choice depends on ownership, operating activities, investors, liability, tax and future hiring. Compare them before paying registration costs.

Prepare these items before speaking to a registration specialist

  • Proposed business name, activities and registered address.
  • Names, identification and residence locations of founders, shareholders and proposed officers.
  • Ownership shares or member contributions and intended capital.
  • Expected founding date and target business-launch date.
  • How the initial capital contribution will be evidenced.
  • Signature certificates, translations and powers of attorney where required.

The Ministry of Justice explains the practical alternatives for payment certificates and signature certificates for overseas founders. Foreign-language attachments may generally require Japanese translations.

Do not confuse incorporation with immigration status

Registering a company does not automatically grant permission to live or work in Japan. The Business Manager status of residence has its own application criteria, updated on 16 October 2025. A qualified immigration professional should assess the proposed business and the applicant’s circumstances.

Similarly, a registered corporation is not guaranteed a corporate bank account. Banks independently verify businesses and account applicants.

A workable project sequence

  • Define your business and compare the legal structures.
  • Confirm whether residence status or business permits will be needed.
  • Agree the work scope and total estimated budget with licensed specialists.
  • Prepare the required corporate documents and capital-payment evidence.
  • Complete registration with the licensed professional or another legally authorised filer.
  • Coordinate post-registration tax notifications, bank applications and any employment steps.

KIZUNA can be the ongoing English-language coordination point for the project while licensed practitioners remain responsible for reserved legal, immigration and tax work.

Questions to ask before proceeding

  • Who is the legal contracting party for each professional service?
  • Does the estimate include taxes, registrations, translations and routine English communications?
  • What is included if the bank requests further evidence?
  • What work needs to be completed before the business may start operating?
